These Consumer Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and the applicable TransactBridge contracting entity identified at checkout, on your invoice, or in your order confirmation (“TransactBridge,” “we,” “us,” or “our”).
By accessing the Website, using TransactBridge’s checkout services, or completing a transaction, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Contracting Entity and Corporate Structure
1.1 Multi-Entity Operation
TransactBridge operates through affiliated legal entities in multiple jurisdictions.
1.2 Applicable Contracting Party
The entity identified at checkout or in your transaction confirmation is solely responsible for the transaction. No affiliate or related entity shall have liability unless expressly stated in writing.
1.3 Scope of Application
These Terms govern all purchases made through the TransactBridge checkout system and related services.
2. Nature of Services
2.1 Merchant of Record Model
For most transactions processed through our checkout, TransactBridge acts as the Merchant of Record, meaning:
- TransactBridge is the legal seller for billing purposes.
- Payment obligations are owed to TransactBridge.
- TransactBridge calculates and remits applicable indirect taxes where required by law.
2.2 Supplier Responsibility
Products and services are supplied by independent third-party merchants (“Suppliers”). Suppliers are solely responsible for:
- Product content and representations
- Quality, safety, and compliance
- Fulfillment and delivery
- Warranties and after-sales support
TransactBridge does not manufacture, control, or independently verify Supplier products.
3. Eligibility and Customer Representations
You represent and warrant that:
- You are at least eighteen (18) years old or the age of majority in your jurisdiction.
- You have full legal capacity to enter into binding agreements.
- All information provided is accurate and complete.
- You are not located in a jurisdiction subject to comprehensive international sanctions.
- You are not listed on any governmental sanctions or restricted party list.
We reserve the right to request identity verification documentation.
4. Orders and Acceptance
4.1 Offer and Formation
Submission of an order constitutes an offer to purchase. A legally binding contract is formed only when payment has been successfully processed.
4.2 Verification and Screening
We may perform fraud detection, sanctions screening, and compliance reviews prior to confirming a transaction.
4.3 Right to Refuse or Cancel
We reserve the right to refuse, suspend, or cancel transactions for reasons including:
- Fraud suspicion
- AML or sanctions concerns
- Regulatory requirements
- Pricing or technical errors
- Supplier restrictions
If payment has been captured for a cancelled transaction, a refund will be issued.
5. Pricing, Currency, and Taxes

Transactions may be processed in a currency different from your local currency. Exchange rates are determined at the time of transaction processing.
Your financial institution may apply additional fees.
5.2 Taxes
Where acting as Merchant of Record, TransactBridge may calculate, collect, and remit applicable GST, VAT, sales tax, or similar indirect taxes.
5.3 Customer Responsibility
You remain responsible for customs duties, import taxes, or local charges not collected at checkout.
6. Payment Authorization
By providing payment information, you:
- Represent that you are authorized to use the payment method.
- Authorize TransactBridge to charge the full transaction amount.
- Agree that disputes are governed by applicable card network or payment provider rules.
We may utilize regulated third-party financial institutions or payment processors.
7. Delivery and Fulfillment
7.1 Digital Products
Digital products are typically delivered electronically via download, account access, or email.
7.2 Physical Products
Physical products are shipped by Suppliers and may be subject to shipping delays or customs processing.
7.3 Supplier Performance
TransactBridge is not liable for Supplier delays, product defects, or failure to perform contractual obligations.
8. Refunds and Cancellations
8.1 Refund Policy
Refunds are subject to:
- The Supplier’s stated refund policy
- Applicable consumer protection laws
- Payment network rules
8.2 Refund Processing
Approved refunds will be returned to the original payment method unless otherwise required by law.
8.3 Refusal of Refund
Refunds may be denied where:
- Products have been accessed or consumed (digital goods)
- Fraud or abuse is suspected
- The request violates stated policies
9. Chargebacks and Payment Disputes
9.1 Customer Cooperation
Customers are encouraged to contact support prior to initiating a chargeback.
9.2 Abusive or Fraudulent Disputes
If we determine that a dispute is fraudulent or abusive, we may:
- Suspend or terminate access
- Recover associated losses
- Report suspected fraud to authorities
9.3 Network Governance
All disputes are governed by applicable card network or payment provider regulations.
10. Anti-Money Laundering and Sanctions Compliance
TransactBridge maintains compliance programs consistent with applicable:
- Anti-Money Laundering laws
- Counter-Terrorist Financing regulations
- Sanctions and export control laws
We may:
- Conduct Know-Your-Customer (KYC) verification
- Screen transactions against sanctions databases
- Block or freeze transactions where legally required
- Report suspicious activity to competent authorities
Failure to comply with compliance requirements may result in immediate suspension.
11. Data Protection and Cross-Border Transfers
Personal data may be collected, processed, and transferred internationally, including between the United States, India, and other jurisdictions.
Processing occurs in accordance with our Privacy Policy and applicable data protection laws.
12. Fraud Prevention, AML & Sanctions Compliance
TransactBridge complies with:
- U.S. Anti-Money Laundering (AML) laws
- Indian Prevention of Money Laundering Act (PMLA)
- OFAC sanctions regulations
- Applicable international sanctions frameworks
We may:
- Conduct identity verification (KYC)
- Screen transactions against sanctions databases
- Block or cancel transactions
- Freeze funds where required by law
- Report suspicious activity to authorities
You may not use our Services for unlawful, fraudulent, or sanctioned activities.
13. Intellectual Property
All content and software made available through our Site including text, graphics, logos, icons, images, and data compilations are protected by copyright, trademark, and other laws. No right or license is granted other than as expressly set out in these Terms.
14. Suspension and Termination
We may suspend or terminate access immediately if:
- You breach these Terms
- Fraud or compliance risk is identified
- Required by law or regulatory authority
Termination does not relieve you of obligations incurred prior to termination.
15. Disclaimer; Limitation of Liability
TO THE EXTENT PERMITTED BY LAW, TRANSACTBRIDGE PROVIDES SERVICES “AS IS” AND “AS AVAILABLE” without warranties of any kind.
- YOU AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.
- TRANSACTBRIDGE IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES.
- IN NO EVENT SHALL TRANSACTBRIDGE’S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE TRANSACTION.
This limitation applies even if TransactBridge has been advised of the possibility of damages.
16. Indemnification
You agree to indemnify, defend, and hold harmless TransactBridge and its affiliates from any claims, losses, liabilities, damages, costs, or expenses arising out of:
- Your breach of these Terms
- Your violation of law
- Your misuse of the Services
- Fraudulent or unlawful conduct
17. Force Majeure
TransactBridge shall not be liable for delays or failures resulting from events beyond reasonable control, including:
- Regulatory actions
- Governmental orders
- Banking system disruptions
- Cybersecurity incidents
- Telecommunications failures
- Natural disasters
18. Compliance with Law
By placing an order, you certify that your purchase will not be exported, sold, or transferred in violation of any applicable laws, including export controls or sanctions. It is your responsibility to understand the laws of the country that receives the product.
19. Privacy
In order to complete your order, you will provide personal data to TransactBridge. You consent to the collection, use, processing, disclosure, and storage of your personal data in accordance with our Privacy Policy.
20. Electronic Communications
By placing an order, you agree to electronic communications from TransactBridge, including order confirmations, updates, and notices regarding these Terms.
21. Changes to Terms
TransactBridge may modify these Terms at any time. The current version will be presented at checkout, and your placement of an order after changes constitutes your acceptance.
22. Severability
If any part of these Terms is found unenforceable, the remaining provisions will continue in full force.
23. Governing Law and Jurisdiction
These Terms shall be governed by the laws of the jurisdiction of the contracting TransactBridge entity identified at checkout.
Disputes shall be resolved in the courts of that jurisdiction unless mandatory consumer protection laws require otherwise.

We may update these Terms from time to time. Continued use after updates constitutes acceptance.
